Terms of Service

These Terms of Service ("Terms") govern your use of the OrangeSea CNC Inc. website located at orangeseacnc.com ("Site") and the manufacturing and related services we provide ("Services"). Please read these Terms carefully before using our Site or Services.

1. Acceptance of Terms

By accessing or using this Site, submitting a quote request, placing an order, or engaging our Services in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not use this Site or our Services.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last updated" date. Continued use of the Site after changes constitutes acceptance of the updated Terms.

2. Services

OrangeSea CNC provides precision CNC machining, fabrication, and related manufacturing services. All Services are subject to a written purchase order or order confirmation accepted by OrangeSea CNC.

Quotes: Quotes provided by OrangeSea CNC are valid for 30 days from the date of issue unless otherwise stated. Quotes are based on the information and files provided by the customer. Changes to design, material, quantity, or specification may require a revised quote.

Orders: An order is accepted and binding when OrangeSea CNC issues a written order confirmation. OrangeSea CNC reserves the right to decline any order at its discretion.

Lead times: Lead times stated in quotes or order confirmations are estimates. OrangeSea CNC will make reasonable efforts to meet stated lead times but is not liable for delays caused by factors outside our reasonable control, including material availability, equipment breakdown, or force majeure events.

Changes and cancellations: Changes to accepted orders must be requested in writing and are subject to OrangeSea CNC's approval. Cancellations after production has commenced may be subject to cancellation fees reflecting costs incurred.

3. Payment

Payment terms are as specified in the quote or order confirmation. Standard terms are payment in full before production commences for new customers, or Net-30 for approved credit accounts.

All prices are in US Dollars (USD) unless otherwise stated. Prices are exclusive of applicable taxes, duties, shipping, and freight costs unless explicitly included in the quote.

Late payments are subject to interest at 1.5% per month (18% per annum) or the maximum rate permitted by law, whichever is lower. OrangeSea CNC reserves the right to suspend or withhold delivery for overdue accounts.

4. Intellectual Property

Customer IP: You retain all intellectual property rights in any designs, drawings, CAD files, or specifications you provide to OrangeSea CNC. You grant OrangeSea CNC a limited, non-exclusive licence to use this information solely to manufacture the parts you have ordered.

OrangeSea CNC IP: All content on this Site — including text, graphics, logos, software, and the OrangeSea CNC name and brand — is owned by or licenced to OrangeSea CNC and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.

Confidentiality: OrangeSea CNC treats all customer designs and project information as confidential. We will not disclose your designs to third parties except as necessary to fulfil your order (e.g., sub-contractors, surface finishers) and will require those parties to maintain confidentiality.

Export Control: You are responsible for ensuring that any designs, parts, or data you provide or receive do not violate applicable export control laws, including ITAR and EAR. OrangeSea CNC is ITAR registered.

5. Warranties and Quality

OrangeSea CNC warrants that parts will conform to the specifications in the accepted order for a period of 90 days from delivery. This warranty is limited to non-conformances in machining and fabrication.

The warranty does not cover defects arising from customer-provided materials, improper use, installation errors, or modifications made after delivery.

Claims: Non-conformance claims must be submitted in writing within 90 days of delivery, with photographic evidence and a reference to the relevant drawing dimensions. We will, at our option, replace, re-machine, or issue a credit for confirmed non-conforming parts.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORANGESEA CNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF DATA.

OrangeSea CNC's total cumulative liability to you for any claims arising out of or related to these Terms or the Services shall not exceed the amount paid by you to OrangeSea CNC for the specific order giving rise to the claim in the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

7. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or our Services shall first be submitted to good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in Shenzhen, Guangdong, China, under the arbitration rules of the China International Economic and Trade Arbitration Commission (CIETAC).

You agree that any claim must be brought in your individual capacity and not as a plaintiff or class member in any class action.

8. Prohibited Uses

You may not use this Site or our Services to:

  • Manufacture parts for illegal purposes or in violation of export control laws
  • Reproduce or reverse-engineer OrangeSea CNC proprietary processes or IP
  • Attempt to gain unauthorised access to our systems or data
  • Submit false or misleading information in quote requests or orders
  • Violate any applicable local, state, national, or international law

9. Termination

We reserve the right to suspend or terminate your access to this Site and our Services at any time for any reason, including violation of these Terms. Outstanding obligations (payment, confidentiality, IP ownership) survive termination.
